TERMS OF SERVICE

These Terms of Service ("Terms") govern your access to and use of the NSPIRE Training App, including the website, mobile app and any associated services (collectively, the "Services") provided by NSPIRE Training App, LLC ("NTA", "we", "us" or "our"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use our Services.

1. Eligibility and Account Registration

Eligibility. You must be at least 18 years old and have the legal capacity to form a binding contract to use the Services. By using the Services, you represent and warrant that you meet these requirements.

Account creation. To access certain features, you may need to create an account. You agree to provide accurate, current and complete information during registration and to update such information as needed. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

Account security. Notify us immediately at [email protected] if you suspect unauthorized use of your account. NTA is not liable for any loss or damage arising from your failure to safeguard your credentials.

2. Services and Subscriptions

Services description. The NSPIRE Training App provides educational content, training modules, voice and chat features, and tools designed for property inspectors and related professionals.

Subscriptions and billing. Some features require a paid subscription. Subscription fees and billing cycles are described on our website. You authorize NTA (or our third‑party payment processor) to charge your payment method for the applicable fees. Prices and terms may change from time to time; we will notify you of material changes before they take effect.

No refunds. All payments are non‑refundable, except as required by law. Your subscription will continue for the term selected and will not be refunded if you cancel before the end of the term.

Automatic renewal. Unless you cancel, subscriptions will automatically renew at the then‑current rate. You may cancel your subscription at any time through your account settings, but cancellation will not take effect until the end of the current billing period.

3. User Conduct and Responsibilities

You agree that you will not, directly or indirectly:

Use the Services in any manner that could interfere with, disable, disrupt or negatively affect the Services or other users.

Upload, post, transmit or otherwise make available any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, invasive of another's privacy, or otherwise objectionable.

Use the Services to violate any applicable law or regulation, including inspection, housing or privacy laws.

Reverse engineer, decompile, disassemble or attempt to discover the source code of the Services except to the extent permitted by law.

Use any automated means (robots, scrapers, etc.) to access the Services for any purpose without our express written permission.

Misrepresent your identity or affiliation with a person or entity or impersonate someone else.

Resell, lease or provide access to the Services to any third party without our prior written consent.

NTA reserves the right to suspend or terminate your account and access to the Services if you violate these Terms or engage in any activity that, in our sole judgment, harms NTA or other users.

4. Intellectual Property

Ownership. The Services and all materials therein, including training content, software, graphics, text, and trademarks, are owned by or licensed to NTA and are protected by intellectual property laws. Except for the limited rights expressly granted to you in these Terms, no rights are granted, and all rights are reserved by NTA.

Limited license. Subject to your compliance with these Terms, NTA grants you a limited, non‑exclusive, non‑transferable, revocable license to access and use the Services for your personal or internal business purposes.

User content. You may upload or submit content (e.g., inspection notes, photos, voice recordings) to the Services. You retain ownership of your content, but you grant NTA a worldwide, non‑exclusive, royalty‑free license to use, host, store, reproduce, modify, and display your content solely for the purpose of operating and providing the Services. You represent that you have the necessary rights to grant this license and that your content does not infringe or violate the rights of any third party.

5. Third‑Party Services and Links

The Services may contain links to or integrations with third‑party services (e.g., payment processors, AI chat tools). NTA does not control these third‑party services and is not responsible for their content, policies or practices. Your use of third‑party services is at your own risk and subject to the terms and privacy policies of those providers.

6. Disclaimers

The Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, NTA disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose and non‑infringement. We do not warrant that the Services will be uninterrupted, error‑free or secure; that defects will be corrected; or that the Services are free of viruses or other harmful components. Your use of the Services is at your own risk.

7. Limitation of Liability

To the maximum extent permitted by law, NTA and its affiliates, officers, employees, agents and suppliers will not be liable for any indirect, incidental, special, consequential or punitive damages; lost profits; or loss of data arising out of or related to your use of the Services or these Terms, even if NTA has been advised of the possibility of such damages. In no event will NTA's total liability exceed the amount you have paid to NTA in the twelve months preceding the claim.

Some jurisdictions do not allow the exclusion or limitation of certain damages or implied warranties, so some of the above exclusions and limitations may not apply to you. In such cases, NTA's liability will be limited to the extent permitted by applicable law.

8. Indemnification

You agree to indemnify, defend and hold harmless NTA and its affiliates, officers, agents and employees from and against any and all claims, liabilities, damages, losses and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your access to or use of the Services, your violation of these Terms or any applicable law, or your content or interactions with the Services.

9. Termination

NTA may terminate or suspend your account and access to the Services at any time and without prior notice if we reasonably believe you have breached these Terms or engaged in fraudulent or unlawful activities. You may stop using the Services at any time. Sections 4–10 will survive any termination of these Terms.

10. Governing Law and Dispute Resolution

These Terms and any dispute arising out of or relating to them or the Services will be governed by the laws of the State of Tennessee, without regard to its conflict of law principles. You agree to resolve any dispute through binding arbitration or small‑claims court, except that either party may seek injunctive or equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement or misuse of that party's intellectual property or proprietary rights.

11. Changes to These Terms

We may modify these Terms from time to time. If we make material changes, we will notify you by posting the updated Terms and updating the "Last updated" date. Your continued use of the Services after the effective date of the revised Terms constitutes your acceptance of the changes.
